Terms of Service

By accessing and using the FRBA Client Onboarding Portal, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use the portal.

1. Acceptable Use

You agree to use the portal only for lawful purposes and in accordance with these Terms. You may not:

  • Upload documents that are fraudulent, falsified, or misrepresent your organization's credentials or compliance status
  • Attempt to gain unauthorized access to the portal or any connected systems
  • Use the portal to transmit malware, viruses, or any malicious code
  • Interfere with the proper functioning of the portal or its security features
  • Share your account credentials with unauthorized parties

2. Document Upload Requirements

When uploading documents to the portal, you agree that:

  • All submitted documents are accurate, current, and authentic
  • You have the authority to submit documents on behalf of your organization
  • Documents must be in an accepted format (PDF, DOC, DOCX, JPG, PNG, or TIFF) and under 10MB in size
  • You will promptly update or replace documents that expire or become outdated
  • FRBA may reject documents that do not meet requirements, are illegible, or are otherwise incomplete

3. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your username and password
  • All activity that occurs under your account
  • Notifying FRBA immediately of any unauthorized use of your account at contact@frbilling.org or 402-209-3152
  • Keeping your contact information current so we can reach you regarding document status or renewals

We recommend enabling two-factor authentication (2FA) for additional account security.

4. Service Availability

We strive to keep the portal available at all times, but we do not guarantee uninterrupted access. The portal may be temporarily unavailable due to scheduled maintenance, technical issues, or circumstances beyond our control. FRBA is not liable for any inconvenience or losses resulting from portal downtime.

5. Intellectual Property

The FRBA Client Onboarding Portal, including its design, features, and content created by FRBA, is the property of First Response Billing Associates. Documents you upload remain your property; by uploading them you grant FRBA a limited license to store and process them for the purpose of providing billing services.

6. Limitation of Liability

To the fullest extent permitted by applicable law, FRBA shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the portal. Our total liability to you for any claim arising from your use of the portal shall not exceed the fees paid by you to FRBA in the three months preceding the claim.

7. Termination

FRBA reserves the right to suspend or terminate portal access at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, FRBA, third parties, or the security of the portal.

8. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Nebraska, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Otoe County, Nebraska.

9. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of significant changes by posting a notice on the portal. Continued use of the portal after changes take effect constitutes acceptance of the revised Terms.
